A Special General Meeting of the Insurance Institute of Chester and North Wales is being held to consider and if thought fit to agree the following motion:

THAT

The Insurance Institute of Chester and North Wales is dissolved with immediate effect.

Date: Thursday 3rd July 2025

Time: 12.30pm

Venue: Online – details to be provided on booking

The meeting is convened in accordance with the CII’s model constitution for Local Institutes and complies with the 21-day notice requirement.

You are invited to attend to share your views and vote on the proposal.

There are currently 52 local institutes across the UK, Isle of Man and Channel Islands. These local hubs are run by members for members and provide an annual programme of continuing professional development events for members in the local area.

If the dissolution is agreed, members will continue to receive services provided by the Insurance Institute of Liverpool www.cii.co.uk/liverpool or another institute of their choice.

AGENDA

  1. Apologies for absence
  1. To consider and if thought fit vote on the following resolutions:

(i) Subject to the payment of any reasonable expenses to members and/or the satisfaction of bona fide creditors, to dissolve the Local Institute of Chester and North Wales (the Institute) with immediate effect.

(ii) Contingent on (i) above, That the financial assets of the Institute be transferred to the Insurance Institute of Liverpool.

(iii) That the membership of the Institute be transferred to the Insurance Institute of Liverpool.

(iv) That those members of the Institute whose preference is to be transferred to an alternative Local Institute, be permitted to do so and assistance to this end be provided.

(v) That all other assets of the institute, including regalia and trophies will be forwarded to the central CII office for archiving.

(vi) That Joanne McAlpine (President) be authorised to act on behalf of the Council for the purposes of administering the closure of the Institute, the closure of the bank account, transferring the residual funds to the Insurance Institute of Liverpool, make provision for the transfer of the membership and prepare a report for publication on the Institute’s web site on completion and all acts ancillary to the dissolution of the Institute.
